1. Presentation
The purpose of code of conduct is to consolidate the most important ethics which govern the Brasilata family and to serve as guidelines for internal and external relations.
The parties interested in Brasilata business must be aware of this code and strictly abide by the terms herein, especially in relation to negotiations.

2.1 Vision
To continue as one of the most profitable companies in the sector and provide shareholders a satisfactory yield on their capital that they have invested on a long term basis.
To be acknowledged globally as the most innovative company in the sector in which it is engaged (General Line) and remain in a position of leadership on the Brazilian market.
To remain at the forefront of knowledge and developments in relation to personnel, product, process and management style.
2.2 Mission
Enhance company value based on excellence of return on investment.
Encourage creation of knowledge and engage in trade on a global scale.
Develop new container solutions, principally in the area of steel products.
2.3 Values
Profits retain shareholders’ interest in the business and help the company grow. The achievements of an organization are the result of the combined efforts of each individual that is associated with it. 2.4 Management Policies
2.4.1 Personnel Administrative Policy
We at Brasilata value humans above all other assets. The company has chosen a competitive strategy to create innovation value, the only source of which is people.
Therefore, the Brasilata Woman and Man are directly responsible for the ideas which give rise to innovations. Each employee is therefore hired as full inventor and they are referred to as such.
The company maintains a long term employment policy which means that dismissals are rare and new hires are made basically to replace those employees who have retired.
We value the Brasilata Woman and Man based on respect, a friendly working environment and pride consolidated on the stability of the personnel roster.
The communications channels are kept permanently open through the Simplified Project where all employees can freely express their ideas or complaints and are assured a quick reply.
2.4.2 Health and Security Policy
The company continually strives to provide security and well being for its inventors, and constantly invests in improvements of work conditions and training. Security and working conditions are priority for Brasilata.
Specific legislation is rigorously upheld and we are committed to continually improving on the job health and security.
2.4.3 Diversity Policy
The search for diversity is a direct result of the search for innovation. The company has at all times believed “success is owed much more to the sum of differences that the sum of similarities.”
Therefore, no discrimination based on sex, color, religion, age, sexual preference or physical or mental handicap will be tolerated.
2.4.4 Quality Policy
Brasilata’s objective is to provide products and services that meet the needs and surpass the expectations of our clients.
The company seeks efficiency of its Quality Management System based on the continued improvement of its processes, support for new management styles and technology changes.
Decisions are taken that strengthen long term shareholder, employee, client, supplier and community relations.
Training courses are held on a continual basis for all employees to prepare them.
Our personnel is managed so as to make each employer a partner in the objectives of the organization.
2.4.5 Environmental Policy
Brasilata as a processing industry, is aware of the possible impacts on the environment and of its responsibility to promote sustainable development as the Best policy to prevent pollution, is strictly in compliance with prevailing environmental legislation and has prevention controls in place.
We also at all times seek to reduce the use of natural resources, raw materials and energy based on continuous improvements.
2.4.6 Social Responsibility Policy
Unrestricted compliance with the legislation in all fields is a fundamental Brasilata value, as well as the support of ethics and sustainable development.
The company has a special relationship with its inventors (employees), and the long term employment policy and profit sharing program are the main features.
We also endeavor to act in a positive manner to give value to the social actions of its inventors and work directly with the communities in which they have influence, i.e., in the areas surrounding company premises.

3. Company Ethical Commitments
3.1 Relations with Interested Parties
Brasilata’s relationship with its different interested parties is based on honesty, integrity and transparency and the policies are in line with the company values.
3.2 Shareholder Relations
Brasilata strives to provide satisfactory remuneration on invested capital, to keep shareholders interested in the business. Principles of good corporate governance are pursued.
Although it is a family owned company and has a small number of shareholders, the financial reports are in line with the regulations established with those of publicly traded companies, to simplify any possible public offering of shares.
3.3 Client Relations
The company strives to achieve satisfaction and to surpass the client needs based on the long term relations founded on innovation, the quality of our products and services and prompt delivery.
3.4 Supplier Relations
Brasilata strives to develop long term relationships with its suppliers giving preference to quality and assurance of supply at market conditions.
3.5 Inventor relations (employees)
Long term relations with inventors are based on compliance with rights and duties.
Freedom of expression is officially valued by the Simplified Project.
The channel of communications with the management is kept open on a permanent basis.
Inventors are assured Profit Sharing (PLR) of as much as 15% of net profits after income tax distributed proportionate to the salary of each inventor.
Each quarter the Board of Directors communicates at the meeting held with the presence of all inventors the economic status of the company.
3.6 Community Relations
Brasilata rigorously complies with the Law, especially inasmuch as concerns taxes, despite the high tax burden prevailing in Brazil.
Tax evasion is inadmissible even though this may cause the company to compete at a disadvantage on some markets. Brasilata would rather not compete in those markets. The company believes that the payment of all taxes its greatest social responsibility, which does not exclude other specific actions related to the communities in which they are engaged.

4. Inventor Commitments to Ethics
4.1Commitment to Innovation and Continual Improvement
The company expects all its inventors to commit to innovation and continued improvement to achieve distinctive products as well as efficient processes. The Simplified Project is a channel through which ideas flow and records improvements accomplished.
4.2 Commitment to the Preservation of Assets
In addition to the obvious care that must be taken to preserve the company’s tangible assets (financial resources, inventory, machinery, equipment and premises) it is expected that our employees will also take special care of its intangible assets (knowledge).
Brasilata has made a substantial investment in innovation and the generation of knowledge. Therefore any unauthorized disclosure of internal knowledge as well as confidential information that could be used by third parties is regarded as a serious breach of conduct.
4.3 Commitment to Inventor Co-workers
Deal respectfully and carefully with all other inventors.
Humiliation of an inventor by a hierarchical superior is regarded as a serious breach of behavior. Any type of sexual harassment shall not be tolerated.
4.4 Team Work
Brasilata values team work and the informal groups which are privileged to have the Simplified Project as channel to convey their ideas and Record improvements accomplished.
4.5 Client Relations
The strategic objective of Brasilata is to satisfy and surpass the client needs.
Clients must be attended carefully and courteously and the information must be truthful, comprehensible and transparent.
Client expenses related to meals, transportation, lodging or entertainment are acceptable provided they have been justified for the purpose of work, within reasonable limits.
4.6 Supplier Relations
Relations with suppliers must be loyal and long term based on market principles.
Promotional gifts and presents may only be accepted provided their sales value is not worth more than R$ 200.00 (two hundred reais). Anything above this amount, in principle, must be communicated to the Ethics Committee and in the event that it is denied, the articles must be returned with thanks and explanations.
4.7 Competitor Relations
Brasilata competitive positioning is owed to the distinction and excellence of its products and services and not to any defects on the part of its competitors.
Therefore, no verbal or written statements shall be made that could denigrate the image of the competitors, who shall be treated with the same respect with which Brasilata expects to be treated.
4.8 Conflicts of Interest
A conflict of interest occurs in the event that an inventor could make or influence a decision by Brasilata resulting in any personal gain or for members of the family or friends.
In the event of any conflict of interest, the inventor is expected to declare that there is an obstacle or communicate this event to the Ethics Committee which will make a decision as to whether or not the inventor has posed a problem of jeopardy.

5. Ethics Committee
5.1 Assignment
It is the responsibility of the Brasilata Ethics Committee - CEB to judge any breaches of the Code of Ethics and determine any disciplinary action.
5.2 Composition
The Brasilata Ethics Committee – CEB is made up of the CDE – Executive Board of Directors and by the Manager Coordinator of the CNP – Our Personnel Committee. When assessing any braches of conduct the Manager responsible for the area in which the inventor works will also take part in the Ethics Committee.
5.3 Contacts
The Ethics Committee can be convened any time by verbal communication from any one of its members by electronic message to the CDE* or anonymously through the Simplified Project registry system.
